Summary:

This role is responsible for assisting the General Counsel in providing legal support on a broad range of legal matters for all aspects of the company’s business operations, including, contracting, negotiation, risk and litigation matters, licensing, regulatory compliance, human resource matters, intellectual property, and strategic activities.  The ideal candidate will be enthusiastic about learning new things, developing strong skills as a generalist, and contributing to the growth of the company as a whole.   

 

The Corporate Counsel provides effective and tactical legal guidance day to day.  Working in collaboration with the General Counsel, this role directly, or indirectly impacts the business through training and guidance, negotiations of contracts, and related issues. The person in this role plays an integral part in Andesa’s strategic direction, development, and future growth. A key expectation of this position is to consider and provide company-wide legal guidance in a manner mindful of Andesa’s employees, clients and suppliers to create an environment to foster the vision, mission and values of Andesa Services.

 

Primary Responsibilities:

·         Provide accurate and timely legal support in drafting, reviewing, analyzing, negotiating, and advising on a wide variety of commercial contracts and relationships, including NDAs, professional consulting services, master services agreements (including SaaS and outsourcing, software licensing, IT). 

     Work collaboratively with colleagues, clients and vendors to address business challenges and optimize business opportunities.

         Research regarding legal matters

         Draft letters, reports, memoranda, policies and procedures

         Develop and maintain knowledge of laws and regulations applicable to the business

         Leverage contract management and other technology and tools or functionality to improve and streamline processes. 

         Support employees through training in support of contracting, risk and compliance matters.

·         Ability to identify and define legal issues, collect data, establish facts and draw valid conclusions

·         Ability to write contracts and other legal documents in a clear, concise and understanding manner, incorporating the applicable principles of law

·         Knowledge of Life Insurance business preferred

·         ESOP knowledge preferred

Education, Training, and Experience:

·         Juris Doctorate degree from an accredited school of law

·         Admitted and Active member in good standing of the Pennsylvania Bar and/or at least one State Bar with the ability to obtain appropriate In-House Counsel and/or Authorized House Counsel status as required.

·         Minimum eight - ten (8-10) years of relevant experience

·         Prior major law firm(s) experience preferred

·         Prior in-house counsel experience considered

·         Demonstrated success in contracting, negotiation, drafting, compliance, information technology, and general commercial matters

·         Strong analytical, communication and management skills.

·         Demonstrated ability to work with the business across various disciplines and levels

·         Demonstrated ability to apply good commercial and legal judgment

·         Demonstrated ability to effectively prioritize and manage multiple matters
